1. Binding Agreement

By submitting an order for the Cliq Beatz Digital Jukebox Platform (“Product”), Distributor acknowledges and agrees that such submission constitutes a legally binding agreement to purchase the Product under the terms and conditions set forth herein.

2. Refund Policy

All payments made pursuant to this Agreement shall become non-refundable forty-eight (48) hours after the order has been submitted. Distributor expressly acknowledges and agrees that submitted funds are allocated toward production scheduling, manufacturing allocation, administrative processing, inventory reservation, and related operational costs.

3. Exception to Non-Refundability

Notwithstanding the foregoing, payments may only be refunded if cancellation is requested within the initial forty-eight (48) hour period following order submission, or in the event that the Company is unable to deliver the Product in accordance with the material specifications or within a commercially reasonable timeframe, as determined by the Company.

4. Product Delivery

The Company shall make commercially reasonable efforts to deliver the Product in accordance with projected timelines; however, Distributor acknowledges that all delivery dates are estimates and subject to change due to manufacturing delays, supply chain disruptions, component shortages, shipping delays, labor shortages, or other circumstances beyond the Company’s reasonable control.

5. Distributor Status

Execution of this Agreement and purchase of Products does not grant Distributor any ownership interest in the Company, intellectual property rights, territorial exclusivity, franchise rights, or guaranteed sales territory unless expressly agreed to in writing by the Company.

6. Revenue Share

Approved distributors participating in the Cliq Beatz revenue program shall receive up to Eighty percent (80%) of eligible net revenue generated from their deployed Cliq Beatz Digital Jukebox Platforms, subject to the Company’s current distributor compensation structure, policies, reporting requirements, and operational guidelines.

“Eligible net revenue” shall mean revenue collected by the Company from platform usage and services after deduction of applicable processing fees, chargebacks, taxes, refunds, music licensing costs, transaction fees, and other operational expenses as determined by the Company.

The Company reserves the right to modify, update, suspend, or terminate revenue share programs, payout schedules, incentive structures, or qualification requirements at its sole discretion upon reasonable notice to Distributor.

7. Pricing and Availability

The Company reserves the right to modify pricing, specifications, features, configurations, accessories, software, or availability of Products at any time prior to final shipment. Any material changes affecting an active order shall be communicated to Distributor.

8. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to this Agreement, including but not limited to delays in production, shipment, installation, or lost business revenue.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior or contemporaneous communications, representations, negotiations, or agreements, whether written or oral.

11. Acceptance of Terms

By submitting an order, Distributor acknowledges that they have read, understood, and agreed to all terms and conditions contained within this Agreement.
